1. About these Terms

These Terms form an agreement between David Currie, a sole trader trading as David Currie Education under the Oracy Spark brand (“Oracy Spark”, “we”, “us” or “our”), and the school or organisation purchasing, holding or using a subscription (“the School”, “you” or “your”).

Oracy Spark is an online educational subscription service providing speaking, listening and oracy prompts and related resources, principally for use in primary-school settings.

By purchasing a subscription, ticking the checkout acceptance box, creating or using an account, or accessing the Spark Hub, the School agrees to these Terms. The individual completing the purchase confirms that they are authorised to enter into this agreement on behalf of the School.

2. The subscription and licence

Subject to payment and compliance with these Terms, we grant the School a limited, non-exclusive, non-transferable, revocable licence to access and use Oracy Spark during the subscription period.

Unless the order expressly says otherwise, each subscription covers one named school or organisation only. A multi-academy trust, federation, local authority, tutoring company or other group requires a separate subscription for each school or site that uses the service, unless we agree a wider licence in writing.

Authorised staff working for the licensed School may access and use the service for the School’s internal teaching and learning. The School is responsible for all use under its subscription and for ensuring that staff comply with these Terms and the Acceptable Use Policy.

3. Accounts and security

The School must provide accurate, current account and billing information.

The School must not share access with pupils, parents, another school, external tutor, consultant or any other third party.

The School must notify us promptly if it suspects unauthorised access and must cooperate with reasonable security steps, including a password reset.

We may use reasonable technical and account-usage information to protect the service and investigate suspected unauthorised sharing. We will not use such information to make decisions about pupils.

4. Permitted educational use

The School may display Oracy Spark content to pupils and use it in teacher-led classroom, assembly or other supervised educational activity within the licensed School. Staff may make limited copies or screenshots only where this is reasonably necessary for an immediate lesson at the School and the material retains any Oracy Spark attribution.

No ownership in the service or its content transfers to the School.

5. Prohibited use

The School and its users must not:

share access or content outside the licensed School, including through trust-wide drives or resource banks;

resell, sublicense, rent, distribute or commercially exploit the service or its content;

publish or upload substantial content publicly, including on websites, social media, video platforms or open file-sharing services;

systematically download, scrape, record, copy or archive the service or use automated means to access it;

remove copyright, trade mark or attribution notices;

adapt, reproduce or use the content, design, structure or selection of prompts to create a competing or substantially similar product or service;

attempt to bypass access controls, probe security, introduce harmful code, or disrupt the service; or

use the service unlawfully or in a way that infringes another person’s rights.

6. School responsibilities

Oracy Spark is a teaching resource, not a substitute for professional judgement. The School remains responsible for:

selecting whether each prompt is suitable for the pupils, context, curriculum and community;

supervising use and applying its own safeguarding, behaviour, equality, SEND and data-protection procedures;

providing appropriate alternatives, adaptations or support where needed;

not asking pupils to disclose personal, sensitive or safeguarding information publicly; and

responding under its own safeguarding procedures if a pupil makes a disclosure.

The School must not enter or upload pupil names, pupil contact details, pupil responses, special-category information, safeguarding information or other pupil personal data into Oracy Spark. If a feature later expressly permits school-provided pupil data, separate terms and data-processing arrangements may apply.

7. Price and payment

Subscription prices are shown at checkout and are payable in full in advance through Wix Payments. Prices are stated in pounds sterling and include VAT if VAT is chargeable, unless the checkout states otherwise. Access normally begins after successful payment.

The Founding Schools offer is available to the first 50 eligible schools that complete a qualifying purchase. It provides the first subscription year for £99. It is an introductory first-year price, not a lifetime price. Unless cancelled, the subscription renews at the applicable standard annual price. At launch, the standard annual price is £149.

If a payment fails or is reversed, we may contact the School, retry payment where the payment arrangement permits, or suspend access until payment is received.

8. Automatic renewal and cancellation

The subscription renews automatically each year on the renewal date using the stored payment method, unless the School cancels before that date. We will send a renewal reminder to the account email address a reasonable time before renewal, stating the renewal date and price.

To cancel, the School must email hello@oracyspark.com before the renewal date from the account email address or otherwise provide enough information for us to identify the subscription. We will acknowledge cancellation by email. Cancellation takes effect at the end of the current paid subscription period; access continues until then and no further renewal payment will be taken.

The School should retain our cancellation acknowledgement. If it has not received one within five working days, it should contact us again.

9. Price changes

We may change the standard subscription price. Any increase affecting an existing School will be notified before renewal and will apply only from the next renewal date. If the School does not accept the new price, it may cancel before renewal. A Founding School’s first-year price is unaffected during its paid first year.

10. Availability and changes to the service

We aim to provide reliable access but do not guarantee that the service will always be uninterrupted or error-free. Access may occasionally be unavailable for maintenance, security, updates, supplier outages or circumstances beyond our reasonable control.

We may correct, replace, update, add or remove individual prompts, resources, features or presentation elements. We will not deliberately remove the essential substance of a paid subscription during its term without a reasonable replacement, remedy or appropriate refund.

11. Intellectual property

Oracy Spark and its original prompts, resources, text, graphics, branding, arrangement, design and software are owned by us or our licensors and are protected by intellectual-property law. The limited licence in section 2 is the only right granted to the School.

Nothing in these Terms restricts any use that the law expressly permits and which cannot lawfully be excluded.

12. Suspension and termination

If we reasonably suspect a breach, we may investigate and ask the School to take corrective action. For a minor or inadvertent breach, we will normally give the School a reasonable opportunity to remedy it.

We may suspend access immediately where reasonably necessary to protect security, prevent significant unauthorised sharing, avoid legal or reputational harm, or protect the service or other users. We may terminate the subscription for a serious breach, fraud, deliberate misuse, non-payment, or a repeated breach not remedied after notice.

13. Refunds

Refunds are governed by the Refund Policy, which forms part of these Terms. Nothing in these Terms excludes a right or remedy that cannot legally be excluded.

14. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, we are not liable for indirect or consequential loss, loss of profit, revenue, savings, goodwill, reputation, business opportunity or data, or for educational outcomes or decisions arising from the School’s use of the service.

Subject to the first paragraph of this section, our total aggregate liability arising out of or connected with a subscription in any subscription year is limited to the amount paid by the School for that subscription year.

The School is responsible for maintaining any local records it needs and for its own internet connection, compatible devices and third-party systems.

15. Privacy

We process personal information as described in the Privacy Policy. The School must ensure that it is entitled to provide us with the business contact and account information it supplies.

16. Changes to these Terms

We may make non-material changes to clarify these Terms, reflect the law, improve security or describe service changes. We will notify Schools of material changes. Material changes that disadvantage an existing School will normally take effect at its next renewal unless an earlier change is required by law or necessary to protect the service or its users.

17. General

If any provision is found unenforceable, the remaining provisions continue. A delay in enforcing a right does not waive it. The School may not transfer this agreement without our written consent. We may transfer it as part of a genuine sale or reorganisation of the business, provided this does not materially reduce the School’s rights.

These Terms, the Acceptable Use Policy, Refund Policy and documents expressly incorporated at checkout form the entire agreement concerning the subscription, except for anything separately agreed in writing.

18. Governing law and contact

These Terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, unless the parties agree another method of resolving a dispute.
